Terms

Terms of service

The agreement between you and us when you create a Halmos Editor account or subscribe to its hosted services. The editor itself is open source and has its own licence.

Last updated: draft, not yet in force

1. Who we are

Halmos Editor's accounts and hosted services are provided by Qx Quantum Limited, a company registered in England and Wales with company number [COMPANY NUMBER], whose registered office is at [REGISTERED OFFICE ADDRESS] ("we", "us"). You can reach us at hermeseditor@qxquantum.com.

2. What these terms cover

These terms cover your account on halmoseditor.com and the hosted services a subscription gives you (the "services"). They do not cover the Halmos Editor desktop application itself, which is free software under the Apache License 2.0; nothing here limits what that licence lets you do with it.

By creating an account or subscribing you accept these terms. If you accept them for an organisation, such as a university or company, you confirm that you are authorised to bind it, and "you" includes that organisation.

3. Your account

  • An account belongs to one person, identified by their email address.
  • Keep access to that email address secure: signing in sends a link to it, so whoever controls the mailbox controls the account.
  • You are responsible for what happens under your account and on the devices you pair with it. Revoke a device from your account page if you lose it.
  • You must be at least 16 years old to create an account.

4. Organisations and seats

Every account belongs to an organisation — on its own, a personal one. An organisation's owner buys seats, assigns each to one named person, and can invite members, remove them and move seats between them. A seat is for one person; it may not be shared, and the services may not be passed on to people who do not hold one.

5. Buying a subscription

Our order process is conducted by our online reseller Paddle.com. Paddle.com is the merchant of record for all our orders. Paddle provides all customer service inquiries about payment and handles returns, and Paddle's buyer terms govern the purchase. These terms govern the services.

  • Prices are on the pricing page. Paddle adds VAT or sales tax at checkout according to where you are.
  • Subscriptions renew automatically, monthly or annually, until cancelled. Paddle takes payment at the start of each period.
  • We will email the subscription's owner at least 30 days before a price change. A new price applies from your next renewal after that notice, and you can cancel before it does.

6. Failed payments

If a renewal payment fails, Paddle will retry it and email you. The services keep working for 14 days after the first failure. If the payment still has not succeeded after that, the services stop until it does. Your account, your organisation and your paired devices are kept; paying restores the services without pairing again.

7. Cancelling and refunds

You can cancel at any time, from Paddle's customer portal; the services keep working to the end of the period you have paid for. What is refunded, and when, is set out in the cancellation and refund policy, which is part of these terms.

8. Using the services fairly

You must not:

  • use the services to break the law or infringe anyone else's rights;
  • send material you have no right to process, or material designed to harm the services or other people;
  • try to get around seat assignments, usage allowances or rate limits, or access the services other than through the editor or the interfaces we document;
  • resell the services, or use them to build a competing service or to train a machine learning model;
  • probe, scan or load-test the services without our written agreement.

AI features come with a monthly allowance per seat, shown on the pricing page. Requests beyond it are refused until the next period; they are not charged.

9. Your content

Your documents are yours. You give us permission to process what you send to the services only to return a result to you. We do not keep your documents after returning the result, and we do not use them for any other purpose. The privacy notice says who else processes them.

AI features produce suggestions, and suggestions can be wrong. Check any formula, chart or converted document before you rely on it or publish it. You are responsible for what you publish, including attributing AI assistance where your institution or publisher requires it.

10. Availability and changes

We aim to keep the services available at all times, but they may be interrupted for maintenance, by faults, or by providers we depend on. We may improve or change the services. If we withdraw or materially reduce a service you are paying for, we will tell you first, and you can cancel. A refund for the rest of the period is at our discretion, except where the law requires one.

11. Suspension and termination

We may suspend or close an account that breaks these terms, puts the services or other users at risk, or that we are required by law to close. Unless the problem is serious or urgent we will warn you first and give you a chance to fix it. You can close your account at any time by emailing us; cancel any subscription first.

12. Our responsibility to you

We provide the services with reasonable care and skill. Nothing in these terms limits or excludes liability for death or personal injury caused by negligence, for fraud, or for anything else that cannot be limited or excluded by law.

If you are a consumer

We are responsible for loss you suffer that was a foreseeable result of us breaking these terms or failing to use reasonable care and skill. We are not responsible for loss that was not foreseeable, and as the services are for personal and academic use, we are not responsible for lost profits, business or business opportunity.

If you are a business or institution

Apart from the liability that cannot be limited, our total liability to you under or in connection with these terms is limited to the amount you paid for the services in the 12 months before the event giving rise to the claim. We are not liable for indirect or consequential loss, or for loss of profits, revenue, data or goodwill.

13. Changes to these terms

We will email account holders at least 30 days before a change that affects them materially and post the new version here with its date. If you do not agree with a change, you can cancel before it takes effect, as the refund policy describes. Small changes that do not affect your rights, such as corrections, take effect when posted.

14. Law and disputes

These terms are governed by the law of England and Wales, and its courts have jurisdiction. If you are a consumer, you keep the protection of the mandatory laws of the country you live in, and you may bring proceedings in your local courts. Please contact us first; most problems are resolved faster by email.

15. General

If a court finds part of these terms unenforceable, the rest still applies. If we do not enforce a right straight away, we have not given it up. You may not transfer your rights under these terms without our agreement; we may transfer ours to someone who takes over the services, and will tell you if we do.
